Agreement

You must read, understand, and agree to all the terms and conditions in the Agreement before using the Services. This Agreement may be amended, modified, or changed at any time, so it is advisable to regularly review it. You will be notified of any such changes by email to the email address you provided during registration, or by posting the amended Agreement on the Site. Our Game Rules may be modified as a result of such modifications. Please notify us if you do not agree with the amended Terms. By continuing to use the Services, you agree to the changes.

Ownership

(WEBSITE NAME) and any other names or marks associated with the Site, the Services or the Software may not be used without the express written consent of the Company. All rights to the 13Spades website, the games therein, software, codes, copies, modifications or merged parts of the1 3Spades website, its code, documents, appearance, structure, and organization are owned by the Company, including all rights to its code, documentation, appearance, structure, and organisation.

Eligibility

A competition or tournament organized by "Us" on the Website may take many forms, including cash tournaments and practice tournaments.

• In order to use the Services, a User must register for a user account ("Account"), and truthfully and accurately provide all mandatory information.
• In order to participate in Practice Games, you must be at least 18 years old.
• A "Eligible Territory" is defined as the territory of India excluding Andhra Pradesh, Assam, Nagaland, Odisha, Sikkim, and Telangana. As part of the services, 'Real Chip Games' require that the user maintain a non-zero cash balance in their account in order to participate in them.

To play real chip games, you must meet the following criteria:

• You must be at least 18 years old, and must not suffer from any disability or impairment which would prevent you from assuming the responsibilities contained in the agreement, Or from participating in the games which are offered as part of the services.
• You must be a resident of India.
• You must access the services while located within the eligible territory.
• You must possess a valid PAN number, which will be associated with your account and which you will provide to us upon request.

Services Description

Online skill games of skill can be accessed and played by valid, registered users. The Company provides software and IT services to enable games of skill to be played with other individuals over the internet. This company's services are intended solely for the facilitation of games of skill, and are for entertainment purposes only. A service charge ("Service Charge") is levied for real chip games, which includes any applicable service tax. There may be a difference in service charge between real chip games from time to time.

Your Account

• Your account may only be used by you, and you may not have more than one account.
• Accounts registered in the name of another individual are not permitted to use the services.
• You may be barred from accessing or using the services without notice if you attempt to open more than one account under your name or another's.
• Passwords to your Account, and any other confidential or sensitive information associated with your Account, may not be shared.
• Using your password or other confidential information to access your account is not the Company's responsibility.

Miscellaneous

The Services, the Site or the Software are not intended to be used for activities that could be construed as money laundering (either under the Prevention of Money Laundering Act, 2002 or otherwise), including, for example, intentionally losing Real Chip Games to a particular User(s), any other form of collusion or fraud that transfers funds between individuals, or making Cash Credits using a credit card or similar financial instrument without participating in Real Chip Games and trying to withdraw Cash Credits.

The posting, publication, or otherwise making available to other Users any obscene, defamatory, illegal, or prejudicial content to the Company. Any activity that may be harmful to other Users or interfere with the Site, the Software, or the Services, including but not limited to decompiling the Software, intercepting communications with the Site, masking or spoofing your IP address, uploading viruses or computer contaminants (as defined in the Information Technology Act, 2000 or such other laws as may be in force in India). The Company's employees, directors, consultants, and agents, as well as their immediate relatives, are prohibited from participating in Real Chip Games, except for participation required as part of their employment.

Game Rules

Each of the Games has published and periodically updated rules and regulations (the "Game Rules"). It is your responsibility to ensure that you have read and understood the rules and regulations of the Games. The Game Rules can be found on the 'About Games' page of the Site and are part of the Agreement. Before using the Services, please read them. Our Services may include additional Games from time to time. Any Game Rules relating to such Games will be governed by this Agreement. When we introduce additional Games to the Site, we will let you know about them and allow you to read them. According to the Game Rules, we'll determine the results and winners of each game. You agree to these terms by registering for and/or participating in any Game or tournament. Each Game's winners will be posted on the Site.

System Failures

A server crash, breakdown, software defect, technical failure, or other failure attributable to the Company or otherwise, such as a natural disaster or another act of God, in the event that a Game is disrupted, it will be cancelled, any associated charges will be refunded to participating Users, and no Service Charge will be charged. Except as stated herein, the Company is not liable to you in such cases. Any potential winnings from an unfinished game are not liable to the Company.

Intellectual Property

• By allowing the User to play the Game, the Company is merely permitting them to play the Game online and not to use the same for any other commercial gain, and no rights whatsoever are being passed on to the user.
• You do not own any intellectual property rights in the Services, the Site or the Software, nor do you own any content or information you access via the Services, Site or Software.
• The Company retains all rights, including copyright, over any content generated by Users, including but not limited to chat messages or message boards/forums ("User-generated Content"), but the Company does not accept any responsibility for such User-generated Content.
• As a user, you understand that you are accessing User-generated Content at your own risk and will not hold the Company responsible for any obscene, defamatory, illegal or otherwise offensive User-generated Content that may be visible or accessible to you.
• The Company may display content that does not belong to the Company on its Services, Site, or Software.

Breach and Consequences

Upon committing a breach (as determined by the Company in its sole discretion) of any of the terms of the Agreement, you acknowledge and agree that the Company may take necessary action if it determines that continuing your access to the Services is prejudicial to the Company, to other users, or to the public interest. The Company may take any of the actions listed above without prejudice to any other legal or equitable rights/remedies it may have.

Limitation of Liability and Indemnity

As a result of or in connection with your use of the Services, the Site or the Software, the Company is not liable for any claims, losses, injuries, or damages (direct, indirect, incidental, or any other kind). In spite of everything to the contrary in the Agreement, you agree that our maximum aggregate liability in all circumstances, except when you redeem any cash balance in your account, shall be Rs. 2,000/-. Any claims, actions, suits, damages, penalties, or awards brought against the Company by any entity or individual arising from or relating to your use of the Services, the Site, or the Software are indemnifiable by you.

Warranty

There is no warranty or representation made by the Company regarding the accuracy or completeness of the content contained on the Site, the Services, or the Software. We disclaim any and all warranties with regard to the Site, the Services, the Software, and all content, information, services, and products we provide, including text, graphics, and links.

There is no warranty, express or implied, that the Site, the Services, or the Software will be merchantable, fit for a particular purpose, non-infringing, or free of computer viruses. The Company does not make any promises that the functions contained in the Site, the Services or the Software will be uninterrupted or error-free, that defects will be corrected, or that viruses or other harmful components will not infect the Site, the Services, or the Software.

You may also be prohibited from using the Services or participating in any game, or your Account may be terminated, if the Company believes that you have intentionally disrupted the Services. No potential winnings from unfinished Real Chip Games are liable to the Company.

Charges that may apply

At the time of purchase of Cash Credits and Cash Withdrawals, you may be charged additional fees by the Company, payment gateways, banks or other intermediaries. Various banks, payment processors, and other intermediaries may charge additional fees, so you agree to pay them.

Use of Services

There is a strict prohibition on using the Services, Site, or Software for commercial purposes. A User may only use the Software for personal entertainment purposes. An Account may not be used for any purpose other than playing the Games. All attempts to open more than one account per individual will be monitored by the Company; if the Company discovers that you have opened more than one account, all additional accounts will be closed without notice. If you continue to violate, the Company may terminate your Accounts and void your winnings. Any modification, decompilation, reverse engineering, or disassembly of the Software is prohibited.

A player assistance program ("EPA Program") or artificial intelligence, including, without limitation, 'robots', are strictly prohibited in connection with the Services, the Site, the Software, or the Games. A User must execute all actions related to the Games personally through the user interface accessible via the Site and/or the Software. (COMPANY NAME) may detect and prevent EPA Programs, robots/bots, and any artificial intelligence in its operations. On the User's computer, such action may include the examination of software programs running concurrently with the (COMPANY NAME) Software.

Collusion and Fraud Prevention

We have taken steps to prevent you from colluding with other players in order to win/lose or otherwise determine the outcome of a Game. Accepting the Agreement implies that you will not play any Game in partnership with other players and will not communicate with them for the purpose of giving undue benefit to yourself or other players. The Company reserves the right to withhold the Cash Balance in your Account in the event a player is found to be engaged in such illegal activities, along with the right to cancel and close your Account without any further communication. A decision on what constitutes collusive or fraudulent activity relating to the Services is at the sole discretion of the Company. Any Games that involve collusion, fraud, or any other unfair practices may be canceled by the Company and points/amounts refunded.

Third Party Sites

The Site may contain links to third-party websites. We and third parties may have different privacy policies, terms and conditions, and business practices. Any dealings or communications you have with a third party other than the Company are solely between you and that third party. The Company does not endorse or recommend any product, process, publication, or service of any third party mentioned on the Site by its trade name, domain name, trademark, trade identity, service mark, logo, manufacturer, or otherwise.

Governing Law

Accordingly, Indian law shall govern, interpret, and construe this Agreement.

Jurisdiction

In the event of any disputes, complaints, differences, or other disputes, the courts in [MENTION THE STATE NAME] shall have exclusive jurisdiction.
